Lots of reasons.  If they "scrap" them they can take the loss against any
profits for that year - saving income taxes.  If they transfered them to
Sears, they would have to put them in inventory which would upset their
stocking levels, their supply chain and they would have to pay taxes on
inventory.  

The tax laws make people (and companies) do strange things at times.
