Sounds like a bunch of "he said, she saids".....Definitely one for  the 
courts.  This "club" (company) taking in a few hundred thousand a  year is going to 
have a tough time against a multimillion dollar company.   It can get drawn 
out until the club is broke.  That is the American way  like it or not.
