Thanks for that input Grant.  A word to the wise is sufficient.  It sounds 
like a great deal but you all had better move slowly and cautiously.  I've 
been involved in several partnerships myself.  Somebody usually ends up 
feeling like they are getting the short (sp?) end of the stick.
