It may well be the tranny. You don't report how the state of the
clutch figures into all of this.
There is a little moving fork kind of thingie in the tranny that
allegedly prevents the 1/2 gear cluster from being in gear when the
3/4 cluster is in gear and vice-versa. This fork can become displaced
and cease to function properly (been there, done that). Consequence
is that the tranny locks. Engine runs OK so long as clutch is
depressed, but stalls when you let the clutch out and the rear wheels
appear to be locked. You can work yourself out of this condition by
messing with the shift lever, but it ultimately will need fixed.
Gotta drop the tranny to do so. Once that is done it's an easy fix.
